Galaxy Growth Media – Terms & Conditions
Effective Date: March 20, 2026
By submitting payment for any product or service provided by Galaxy Growth Media (“we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to the following Terms of Service. These terms apply to all digital marketing services including, but not limited to, SEO, PPC, Google Business Profile optimization, and website design/hosting.
1. Overview of Services
Galaxy Growth Media offers monthly marketing and SEO services that include:
- Website design and hosting
- Google Business Profile (GBP) optimization and content updates
- Local SEO strategy, including keyword research, content creation, and blog writing
- Google Ads (PPC) management
- Ongoing ranking improvements and analytics reporting
- Client CRM access via GalaxyBOOST (if applicable)
All work is scoped based on your service level and outlined in your onboarding materials or proposal.
2. Website Ownership & Hosting
All SEO clients receive a custom-built website as part of their monthly subscription. This includes the initial build, ongoing content updates, and hosting.
- We typically host your website on our servers
- Website access, hosting, and updates remain active only while your account is in good standing.
If you cancel service:
- You have 30 days to request your website files and transfer hosting.
- After 30 days, we reserve the right to charge a $50/month hosting fee if the site remains on our servers.
- After 60 days of inactivity, we may permanently remove the site and associated assets unless otherwise arranged in writing. This includes permanent deletion of all data, files, and content, which may be unrecoverable.
3. PPC Management & Billing
PPC (Google Ads) services are available as part of your monthly service. All ad spend is paid directly by the Client to Google Ads and is separate from our monthly management fee.
- Management fees are billed every 30 days based on your agreed rate.
- Campaigns are built and optimized by our team based on goals discussed during onboarding.
- We do not guarantee a specific number of leads, sales, or conversions.
- Campaigns may take 2–4 weeks to stabilize.
- No refunds are provided for PPC management services once service begins.
You are responsible for:
- Maintaining active billing on your Google Ads account
- Ensuring your ad budget is aligned with expected outcomes
- Responding to campaign-related questions within 2–3 business days
4. SEO Pricing & Service Terms
SEO services are offered on a monthly basis. Deliverables may include:
- Local SEO optimization and strategy
- Weekly GBP posts, photo updates, and engagement signals
- Monthly content (e.g., blog posts, service pages)
- Technical audits, interlinking, ranking analysis, and keyword research
All SEO campaigns are custom scoped. Billing occurs every 30 days. Clients may cancel with 7 days’ written notice before the next billing cycle.
5. Cancellation & Refund Policy
You may cancel at any time by providing written notice via email to info@galaxygrowthmedia.com or dmartirosian@galaxygrowthmedia.com.
- Verbal cancellations or texts do not constitute valid cancellation.
- Cancellation requests must be submitted 7 days before your next billing date.
- No refunds are issued for services already rendered or in-progress.
- All payments are non-refundable. This includes monthly fees for SEO, hosting, PPC management, and any related services. Work begins immediately and involves custom labor, strategy, and digital infrastructure.
- In rare cases where there has been a clear failure to deliver or a major oversight on our part, we may issue a partial or full refund at our sole discretion as a gesture of good faith. This is not guaranteed and is reviewed case by case. For the avoidance of doubt, the initiation of a chargeback is not considered a valid reason for a refund and will not trigger a review for a refund under this clause.
6. Chargebacks & Asset Forfeiture
A. Material Breach: Filing any chargeback against Galaxy Growth Media for services rendered or initiated payment obligations, without justifiable cause and without exhausting the dispute resolution process outlined in these Terms, is considered a gross material breach of these Terms. Such action is presumed to be an attempt to defraud Galaxy Growth Media and/or obtain services without payment.
B. Immediate Consequences of Chargeback Filing: Upon the filing of any chargeback (regardless of the outcome or the client’s intent):
- Immediate Termination of All Services: All current and future services provided by Galaxy Growth Media to the Client will be immediately and irrevocably terminated.
- Asset Forfeiture: Client immediately and irrevocably forfeits all rights, title, and interest in any and all assets, websites, tools, custom-built content, intellectual property, and infrastructure developed, created, or provided by Galaxy Growth Media under this agreement. These assets become the sole and exclusive property of Galaxy Growth Media.
- Access Revocation: No access to website files, custom-built assets, CRM, content management systems, or any other digital or physical assets related to the services will be granted, and all existing access will be immediately revoked.
- Removal of Complimentary/Out-of-Scope Work: Any complimentary or out-of-scope work, paid plugins, third-party integrations, licenses, or goodwill gestures provided by Galaxy Growth Media will be immediately deactivated and/or removed, and the Client will forfeit any rights to continued use.
- No Cure Period: Due to the nature of a chargeback, there shall be no cure period granted for this breach.
C. Recovery of Disputed Funds and Associated Costs: Galaxy Growth Media reserves the absolute right to pursue full recovery of all disputed funds, the original service fees, and any and all associated costs and damages incurred as a result of the chargeback, including but not limited to:
- Chargeback fees levied by payment processors.
- Administrative fees for handling the chargeback ($150 per chargeback).
- Legal fees and court costs.
- Collection agency fees.
- Lost revenue from disrupted services.
- Damages for reputational harm.
- Any other direct or indirect costs and expenses incurred by Galaxy Growth Media. Recovery efforts may include, but are not limited to, utilizing collections agencies, pursuing legal action in Texas courts, and reporting to credit bureaus.
D. Reinstatement Policy: Should a chargeback be reversed in favor of Galaxy Growth Media, or the disputed funds otherwise recovered by Galaxy Growth Media through legal or collection means, Client understands and agrees that:
- Reinstatement of services is solely at the discretion of Galaxy Growth Media.
- If services are reinstated, the Client must pay all outstanding balances, all chargeback fees, administrative fees, legal costs, and a reinstatement fee of $500 before any services are resumed or assets are released.
- No guarantees are made regarding the recovery of lost data or the immediate restoration of prior service levels.
7. Client Responsibilities
To ensure timely service, you agree to:
- Provide all necessary assets and logins for Ads, GBP, or website
- Respond within 2–3 business days to onboarding or campaign requests
- Notify us promptly of any changes to your business (location, phone, service area, etc.)
Delays in communication or asset delivery may impact performance timelines.
8. Performance Disclaimer
Marketing performance is influenced by external factors including competition, market shifts, and user behavior. We do not guarantee:
- Specific keyword rankings
- Lead volume or sales results
- Conversion rates or return on investment
All work is delivered based on best practices, ongoing optimization, and the latest platform standards.
9. Ownership & IP
- Assets built under your account (e.g., Google Ads, GBP, Analytics) remain yours.
- Websites, content, CRM builds, and hosting environments are owned by Galaxy Growth Media until payment is made and the account is in good standing and all contractual obligations, including dispute resolution processes, have been exhausted and no chargebacks are pending or have been filed without resolution.
- Upon request after cancellation and payment clearance, we will deliver website files and assist in transferring ownership provided the Client is not in breach of these Terms, including but not limited to, having filed any unresolved chargebacks.
- Plugins or 3rd-party tools remain under our license unless transferred by written agreement.
10. Limitation of Liability
Galaxy Growth Media is not liable for:
- Loss of business, leads, or profit due to performance outcomes
- Third-party platform changes (Google, Facebook, CallRail, etc.)
- Downtime caused by hosting or platform outages
Our maximum liability is limited to the management fees paid by you in the prior 60 days.
11. Google Account Connection
Certain features of our platform require you to connect your Google Business Profile by authorizing our application through Google OAuth. By connecting your Google account, you grant Galaxy Growth Media permission to manage your Google Business Profile on your behalf, including publishing posts, updating business information, and responding to reviews. You may revoke this access at any time through your client dashboard. Galaxy Growth Media is not responsible for any changes made by Google to their platform, APIs, or policies that may affect service delivery.
12. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, including but not limited to any issues concerning the quality of services or billing, shall first be attempted to be resolved informally between the Parties. The Client agrees to first contact Galaxy Growth Media directly at info@galaxygrowthmedia.com to explain the nature of the dispute and allow Galaxy Growth Media at least 10-15 business days to address and resolve the issue.
If the dispute cannot be resolved informally within this period, then either Party may pursue other legal remedies as permitted by these Terms. Client understands and agrees that initiating a chargeback without first attempting to resolve the dispute through this formal communication process constitutes a material breach of these Terms and may result in the immediate and severe consequences outlined in Clause 6.
13. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive business, login credentials, campaign data, and correspondence.
14. Governing Law
This agreement is governed by the laws of the State of Texas. Any disputes will be handled in the appropriate court jurisdiction within Texas.
15. Acceptance
By submitting payment, checking an “I agree” box, or engaging with Galaxy Growth Media services in any form, you confirm that you have read, understood, and agreed to these Terms of Service.
